A Variable Capital Company (VCC) is a company incorporated under the Companies Act which carries its activities through its sub-funds and Special Purpose Vehicles (SPVs). A VCC needs to be authorised by the Financial Services Commission (FSC).
VCCs are a new type of vehicle which will complement the available type of funds structuring in Mauritius.
The VCC Act 2022 provides a comprehensive legislative structure for those who wish to set up different types of funds within one legal entity. A variable capital company (“VCC”) is incorporated under the Companies Act and may carry out its business through sub-funds and special purpose vehicles (“SPV)
There is no restriction on the number of sub-entities that can be created under the VCC structure, however creation of any sub-entity requires the prior approval of the FSC.
